Terms of Service

These Terms of Service (hereinafter referred to as "these Terms") set forth the conditions of use for AI TRI+ (hereinafter referred to as "the Service"). All users (hereinafter referred to as "Users") shall use the Service in accordance with these Terms.

Article 1 (Application)

1. These Terms shall apply to all matters relating to the use of the Service between Users and the Service.
2. The Service may establish additional rules regarding use of the Service. Such rules shall constitute a part of these Terms.
3. In the event of any discrepancy between the provisions of these Terms and the rules or other individual provisions described in the preceding paragraph, the individual provisions shall take precedence.

Article 2 (Registration)

1. Registration is completed when applicants agree to these Terms, apply for registration through the method prescribed by the Service, and the Service approves the application. Registration includes authentication via social login (Google, GitHub, etc.) through Auth0.
2. The Service may decline registration applications if it determines that the applicant falls under any of the following categories. The Service shall have no obligation to disclose the reasons for such decisions.
   1. The applicant provided false information in the registration application
   2. The application is from a person who has previously violated these Terms
   3. The Service otherwise determines that registration is inappropriate

Article 3 (Account Management)

1. Users shall manage their accounts used to log in to the Service (including social login accounts via Auth0) at their own responsibility.
2. Under no circumstances may Users transfer, lend, or share their accounts with third parties. The Service shall deem any login completed through proper authentication processes as use by the registered User of that account.
3. The Service shall bear no liability for any damages arising from unauthorized use of a User's account by a third party, except in cases of intentional misconduct or gross negligence on the part of the Service.

Article 4 (Usage Fees and Payment)

1. Users shall pay the usage fees displayed on this website, as separately determined by the Service, through the payment methods designated by the Service for the paid portions of the Service.
2. Payments are processed through the payment services provided by Stripe, Inc. Users agree to Stripe's Terms of Service and Privacy Policy when using said services. The Service does not directly store Users' credit card information.
3. If a User is late in paying usage fees, the User shall pay a late penalty at an annual rate of 14.6%.
4. Usage fees once paid shall not be refunded for any reason, except in cases attributable to the Service.

Article 5 (Prohibited Activities)

Users shall not engage in any of the following activities when using the Service.

1. Activities that violate laws, regulations, or public order and morals
2. Activities related to criminal acts
3. Activities that destroy or interfere with the functionality of servers or networks of the Service, other Users, or third parties
4. Activities that may interfere with the operation of the Service
5. Activities that collect or accumulate personal information of other Users
6. Unauthorized access or attempts thereof
7. Impersonating other Users
8. Activities that directly or indirectly provide benefits to antisocial forces in connection with the Service
9. Activities that infringe upon the intellectual property rights, portrait rights, privacy, reputation, or other rights or interests of the Service, other Users, or third parties
10. Posting or transmitting content on the Service that includes, or is deemed by the Service to include, the following expressions
    1. Excessively violent content
    2. Explicitly sexual content
    3. Content that leads to discrimination based on race, nationality, creed, gender, social status, family origin, etc.
    4. Content that induces or promotes suicide, self-harm, or drug abuse
    5. Other antisocial content that causes discomfort to others
11. Activities conducted for, or deemed by the Service to be conducted for, the following purposes
    1. Sales, advertising, solicitation, or other commercial activities (except those approved by the Service)
    2. Activities aimed at sexual or obscene acts
    3. Activities aimed at meeting or dating strangers of the opposite sex
    4. Activities aimed at harassing or defaming other Users
    5. Activities aimed at causing disadvantage, damage, or discomfort to the Service, other Users, or third parties
    6. Using the Service for purposes other than its intended use
12. Religious activities or solicitation for religious organizations
13. Any other activities deemed inappropriate by the Service

Article 6 (Suspension of Service)

1. The Service may suspend or interrupt all or part of the Service without prior notice to Users if it determines that any of the following reasons exist.
   1. When performing maintenance, inspection, or updates to the computer systems of the Service
   2. When provision of the Service becomes difficult due to force majeure such as earthquakes, lightning, fire, power outages, or natural disasters
   3. When computers or communication lines are stopped due to an accident
   4. When the Service otherwise determines that provision of the Service is difficult
2. The Service shall bear no liability for any disadvantage or damage suffered by Users or third parties due to suspension or interruption of the Service.

Article 7 (Copyright)

1. Users may use the Service to post or upload only information such as text, images, and videos for which they hold the necessary intellectual property rights or have obtained permission from the relevant rights holders.
2. Copyright in text, images, videos, and other content posted or uploaded by Users through the Service shall be retained by such Users and other existing rights holders. However, the Service may use such content to the extent necessary for improving the Service, enhancing quality, correcting deficiencies, and promoting the Service, and Users shall not exercise moral rights in connection with such use.
3. Except as provided in the preceding paragraph, all copyrights and other intellectual property rights in the Service and all information related thereto belong to the Service or the rights holders who have licensed their use to the Service. Users may not reproduce, transfer, lend, translate, modify, reprint, publicly transmit (including making transmittable), distribute, publish, or commercially use any such content without permission.
4. All copyrights and other intellectual property rights in analysis results, training plans, and other content generated by the Service's AI features (hereinafter referred to as "AI-Generated Content") belong to the Service or the rights holders who have licensed their use to the Service. Users may use AI-Generated Content only for personal use within the scope permitted by the Service.

Article 8 (Usage Restrictions and Account Deletion)

1. The Service may, without prior notice, delete posted data, restrict all or part of a User's use of the Service, or delete the User's registration if the User falls under any of the following categories.
   1. Violation of any provision of these Terms
   2. Discovery of false information in registration details
   3. Failure to pay usage fees or other payment obligations
   4. Failure to respond to communications from the Service within a specified period
   5. No use of the Service for a specified period from the last use
   6. The Service otherwise determines that use of the Service is inappropriate
2. If a User falls under any of the items in the preceding paragraph, the User shall automatically lose the benefit of time on all obligations to the Service and shall immediately pay all obligations borne at that time in a lump sum.
3. The Service shall bear no liability for any damages suffered by Users as a result of actions taken by the Service under this article.

Article 9 (Withdrawal)

Users may withdraw from the Service through the withdrawal procedures prescribed by the Service.

Article 10 (Disclaimer of Warranties and Limitation of Liability)

1. The Service makes no express or implied warranty that the Service is free from defects in fact or in law (including defects related to safety, reliability, accuracy, completeness, effectiveness, fitness for a particular purpose, security, errors, bugs, rights infringement, etc.).
2. The Service makes no warranty regarding the accuracy, completeness, usefulness, or fitness for a particular purpose of information generated by AI features (including analysis results, training plans, etc.). Users shall use such information at their own judgment and responsibility.
3. The Service makes no warranty regarding the reliability of integration with external calendar services, accuracy of synchronization, or data loss in connection with the iCal integration feature.
4. The Service shall bear no liability for any damages suffered by Users arising from the Service, except in cases of intentional misconduct or gross negligence. However, this disclaimer shall not apply if the contract between the Service and the User (including these Terms) constitutes a consumer contract as defined by the Consumer Contract Act.
5. Even in cases described in the proviso of the preceding paragraph, the Service shall bear no liability for damages arising from special circumstances resulting from breach of contract or tortious acts due to the Service's negligence (excluding gross negligence), including cases where the Service or User foresaw or could have foreseen the occurrence of damages. Compensation for damages arising from breach of contract or tortious acts due to the Service's negligence (excluding gross negligence) shall be limited to the amount of usage fees received from the User in the month in which the damages occurred.
6. The Service shall bear no liability for any transactions, communications, or disputes between Users and other Users or third parties in connection with the Service.

Article 11 (Changes to Service Content)

The Service may change, add to, or discontinue the content of the Service with prior notice to Users, and Users consent to this.

Article 12 (Changes to Terms of Service)

1. The Service may modify these Terms without individual consent of Users in the following cases.
   1. When the modification is in the general interest of Users.
   2. When the modification does not conflict with the purpose of the Service and is reasonable in light of the necessity of the modification, the appropriateness of the modified content, and other circumstances related to the modification.
2. The Service shall notify Users in advance of the modification of these Terms, the content of the modified Terms, and the effective date of the modification.

Article 13 (Handling of Personal Information)

Personal information obtained through the use of the Service shall be handled appropriately in accordance with the Service's Privacy Policy.

Article 14 (Notices and Communications)

Notices and communications between Users and the Service shall be made by the method prescribed by the Service. Unless the Service receives a change notification in the prescribed format from a User, the Service shall deem the currently registered contact information to be valid and shall send notices or communications to such contact information, which shall be deemed to have reached the User at the time of dispatch.

Article 15 (Prohibition of Transfer of Rights and Obligations)

Users may not transfer or pledge their contractual status or rights or obligations under these Terms to any third party without the prior written consent of the Service.

Article 16 (Governing Law and Jurisdiction)

1. These Terms shall be governed by and construed in accordance with the laws of Japan.
2. Any disputes arising in connection with the Service shall be subject to the exclusive jurisdiction of the court having jurisdiction over the location of the Service's principal office.
